Terms of Service

By accessing or using the Service you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree, do not use the Service.

If you use the Service on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.

You must be at least 13 years old to use the Service, and at least 18 years old to upload content, run a channel, or purchase a subscription. If you are under the age of majority in your jurisdiction, you may only use the Service with the involvement and consent of a parent or legal guardian.

• You are responsible for the activity that happens under your account and for keeping your login credentials and PIN confidential.
• You agree to provide accurate information, including a valid phone number, and to keep it up to date.
• Notify us promptly at security@yaba.tv if you suspect unauthorised use of your account.
• We may suspend or close accounts that violate these Terms or that are inactive for an extended period.

Yaba.tv is reverse-billed (“datafree”) across participating Nigerian carriers including MTN, Airtel, Glo, and 9mobile, meaning we sponsor the data used to stream eligible content so it does not count against your mobile data allowance.

• Datafree coverage applies only to eligible content on supported carriers and network types, and may change or be withdrawn at any time.
• Content marked as not datafree, downloads outside the Service, sponsored offers, and certain live events may consume your standard mobile data, which is billed by your carrier at their rates.
• We are not responsible for charges applied by your mobile network, including roaming, out-of-bundle, or non-datafree usage. Any dispute about carrier charges is between you and your carrier.
• Datafree access depends on your carrier correctly identifying your connection; we cannot guarantee uninterrupted reverse billing.

Some features, such as YabaTV Premium, require a paid subscription. Where you purchase a subscription:

• Prices are shown in Nigerian Naira (₦) unless stated otherwise and may include applicable taxes.
• Subscriptions renew automatically for the same period until cancelled. You can cancel at any time from your account settings; cancellation takes effect at the end of the current billing period.
• Free trials, where offered, convert to a paid subscription unless cancelled before the trial ends.
• Except where required by law, payments are non-refundable for partial periods.
• We may change subscription prices on reasonable notice; changes apply from your next renewal.

The Service lets creators upload, publish, and stream videos and other material (“User Content”). You retain ownership of your User Content.

By submitting User Content you grant Yaba.tv a worldwide, non-exclusive, royalty-free, sublicensable licence to host, store, reproduce, adapt (for formatting and transcoding), publish, distribute, and stream that content through the Service, including via datafree delivery and within previews and promotions of the Service. This licence ends when you delete your content, except for copies retained in routine backups for a limited period or where we must keep it to comply with law.

You represent and warrant that:

• You own or have all rights necessary to your User Content and to grant the licence above.
• Your User Content does not infringe anyone's intellectual property, privacy, or other rights, and complies with these Terms and applicable law.
• You are responsible for your User Content and the consequences of publishing it.

You agree not to use the Service to:

• Post content that is unlawful, defamatory, hateful, harassing, or that incites violence.
• Upload sexual content involving minors, non-consensual intimate imagery, or other illegal material.
• Infringe intellectual property rights or distribute pirated films, music, or broadcasts.
• Distribute malware, attempt to gain unauthorised access, scrape, or interfere with the Service or its security.
• Abuse, circumvent, or attempt to defraud the datafree (reverse-billing) system or any carrier offer.
• Impersonate others or misrepresent your affiliation with any person or entity.

We respect intellectual property rights and respond to valid infringement notices. If you believe content on the Service infringes your copyright, send a notice to copyright@yaba.tv identifying the work, the infringing material and its location, your contact details, and a statement that you have a good-faith belief the use is unauthorised. We may remove content and terminate repeat infringers.

We may review, remove, restrict, or refuse any content, and suspend or terminate any account, that we reasonably believe violates these Terms or applicable law, or that creates risk or legal exposure. Where practical and lawful we will give notice, but we may act immediately in urgent cases.

The Service itself, including the Yaba.tv name, logos, design, and software, is owned by Yaba.tv and protected by law. We grant you a limited, revocable, non-transferable licence to use the Service for personal, non-commercial purposes in accordance with these Terms. No other rights are granted.

The Service may include advertising, sponsored offers, and links to third-party websites or services that we do not control. We are not responsible for third-party content, products, or practices, and your dealings with them are solely between you and the third party.

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, error-free, or that datafree coverage will always be available.

To the maximum extent permitted by law, Yaba.tv and its officers, employees, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us in the twelve months before the claim or ₦20,000.

You agree to indemnify and hold Yaba.tv harmless from claims, damages, and expenses (including reasonable legal fees) arising from your User Content, your use of the Service, or your breach of these Terms.

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms or where required by law. Sections that by their nature should survive termination (including content licences for residual copies, disclaimers, limitation of liability, and indemnity) will continue to apply.

We may update these Terms from time to time. If we make material changes we will provide reasonable notice, for example by posting in the Service or notifying you. By continuing to use the Service after changes take effect, you accept the updated Terms.

These Terms are governed by the laws of the Federal Republic of Nigeria, and the courts of Nigeria will have jurisdiction over any dispute, without prejudice to any mandatory consumer protections available to you under local law.
